Keystone Collections Group provides individuals and employers (collectively “Taxpayers”) the opportunity to register and access one or more of its web-based applications (hereinafter collectively “Applications”). By registering for and/or accessing one or more of Keystone’s Applications, I hereby acknowledge that I have read, understood and agree to be legally bound by the following Terms of Service. 

Terms of Service Controlling Your Use of Keystone’s Applications 
The following Terms of Service (“TOS”) concern your use of Keystone’s Applications, and agreement with, Kratzenberg & Associates, Inc. d/b/a Keystone Collections Group. By accessing this site, you represent that you have the authority to enter into this agreement individually or on behalf of your company (Hereinafter “Employer”), and you agree to be bound by the following TOS. 

SECTION I 

a. ELECTRONIC AUTHORIZATION 

By clicking on the “I Agree and Submit” button during the registration process, you acknowledge that you have read, understand, and accept these terms. Agreeing in this manner has the same force and effect as a handwritten signature. 

b. LICENSE, ACCESS AND USE 

Keystone grants you a non-exclusive limited license to access and make use of this site. You agree to use this website for its intended and only purpose: to upload, file, reconcile monitor and pay new and existing tax filings and documentation associated with annual tax compliance, employer payroll withholding, and/or wage garnishments authorized by relevant laws for the employer or individual associated with this username and/or login. You further agree to not use this website for any other purpose than those so stated. You agree not to download (other than page caching) or modify it, or any portion of it, under any circumstances. This license does not include: any resale or commercial use of this site or its contents; any derivative use of this site or its contents; any downloading or copying of information for the benefit of another entity; or any use of data mining, robots or similar data gathering and extraction tools. This site or any portion of this site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose (other than the evident intent of supporting employers) under any circumstances. You may not frame or utilize framing techniques to enclose any trademark, logo or other proprietary information (including images, text, page layout or form) of this web site. You may not purposely introduce any software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of this web site or any computer software, hardware or telecommunications equipment of Keystone, its affiliates or the users of this web site. You may not interfere with or disrupt the services of Keystone, its affiliates, or the servers or networks connected to these services. Any unauthorized use or attempts to use this web site in an unauthorized manner terminates the permission or license granted by Keystone. At any time Keystone may, without notice, make changes to this site or to the services described in this site. 

c. DESCRIPTION OF SERVICE 

The Applications provides Taxpayers with the ability to enter, monitor, store and send earnings information, quarterly returns, forms, exemptions, payments and other tax related documents electronically to Keystone. Unless explicitly stated otherwise, any new features that enhance the current Service shall be subject to the TOS. You understand and agree that the Service is provided “AS IS” and that use of the Service is voluntary. 

Keystone provides this Service to you, subject to these TOS. These TOS may be updated from time to time without notice. You can review the most current version at any time on this site. By accessing the Applications, you agree to be bound by these TOS. 

d. GENERAL INFORMATION 

These TOS constitute the entire agreement between you and Keystone and govern your use of the Applications, superseding any prior agreements between you and Keystone. You also may be subject to additional terms and conditions that may apply when you use affiliated services, third-party content or third-party software. The TOS and the relationship between you and Keystone shall be governed by the laws of the Commonwealth of Pennsylvania without regard to its conflict of law provisions. The failure of Keystone to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and all other provisions of the TOS remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Application or the TOS must be filed within one (1) year after such claim or cause of action arose or be forever barred. 

e. WARRANTIES AND LIMITATIONS OF LIABILITY 

THIS WEBSITE AND APPLICATIONS ARE PROVIDED “AS IS”, AND “AS AVAILABLE” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU EXPRESSLY AGREE THAT YOUR USE OF THIS SITE IS AT YOUR SOLE RISK AND THAT YOU ARE SOLELY RESPONSIBLE FOR YOUR USE OF IT. KEYSTONE DOES NOT WARRANT THAT THIS SITE, ITS SERVICES OR E-MAIL SENT FROM KEYSTONE ARE BUG FREE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 

KEYSTONE, ITS AFFILIATES, OFFICERS, EMPLOYEES OR OTHER REPRESENTATIVES OF ANY OF THEM, ARE NOT LIABLE FOR ANY DAMAGES ARISING OUT OF, RELATED TO, OR IN CONNECTION WITH YOUR USE OF THIS SERVICE. THIS COMPREHENSIVE LIMITATION OF LIABILITY APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO COMPENSATORY, PUNITIVE, DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES, LOSS OF DATA, INCOME OR PROFIT, OR LOSS OF OR DAMAGE TO PROPERTY AND CLAIMS OF THIRD PARTIES. 

f. EXCLUSIONS AND LIABILITIES 

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. 

g. INDEMNITY 

YOU AGREE TO HOLD HARMLESS AND FULLY INDEMNIFY KEYSTONE, ITS SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, AGENTS, OR OTHER PARTNERS, EMPLOYEES, FROM ANY LOSS, DAMAGE, CLAIM AND/OR DEMAND WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH MAY ARISE OUT OF OR IS RELATED TO YOUR USE OF THE APPLICATION, INCLUDING BUT NOT LIMITED TO, ANY THIRD PARTY’S CLAIMS OF WHATEVER NATURE. THIS INCLUDES REASONABLE ATTORNEY’S FEES AND COURT COSTS. 

h. MODIFICATIONS TO SERVICE 

KEYSTONE reserves the right at any time to modify or temporarily discontinue, the Services (or any part thereof) with or without notice. You agree that KEYSTONE shall not be liable to you or to any third party for any modification, suspension, interruption, or temporary discontinuance of the Services. 

i. TERMINATION OF SERVICE 

You agree that Keystone, in its sole discretion, may terminate your account or use of the Services, and remove and discard any data within the Services, for any reason whatsoever. You agree that any termination of your access to the Services under any provision of this TOS may be effected IMMEDIATELY by KEYSTONE. You acknowledge and agree that KEYSTONE may deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Services. Further, you agree that KEYSTONE shall not be liable to you or any third party for any termination of your access to the Services. EMPLOYERS USING THE WAGE GARNISHMENT APPLICATION MAY TERMINATE THEIR ACCOUNT OR USE OF THE SERVICES BY PROVIDING WRITTEN NOTICE TO KEYSTONE AT Attn: Wage Garnishment Department, Keystone Collections Group, 546 Wendel Road, Irwin, PA 15642. 

j. SECURITY 

To protect the Information we receive, Keystone uses certain security measures designed to guard against the loss, misuse, and alteration of that Information. It should be recognized, however, that Keystone cannot guarantee that transmission of data over the Internet will be absolutely secure. Due to the open nature of the Internet you and/or your employees’ Information may be in environments that do not have adequate security measures and may be accessed and used by persons other than those intended. As a result, while protection of your Information is important to us, Keystone will strive to ensure its security on our systems. By accessing the Services, user accepts and understands the security risk associated with transmission of information over the Internet and agrees that Keystone is not liable for any unauthorized dissemination of user’s information associated therewith. 

k. PRIVACY 

In furtherance of our understanding the nature of your data, and our overall respect for your privacy, Keystone will not share ANY of the personally identifiable information (PII) provided to Keystone. Any PII will only be used for the limited purpose of administering, collecting, processing and reconciling any applicable outstanding tax filings and wage garnishments. Click here to review our Privacy Statement. 

l. CONFIDENTIALITY 

Taxpayer acknowledges that the information contained in the Applications is confidential and contains personally identifiable taxpayer information. Taxpayer and Keystone acknowledge that such information is used for exclusive purposes of tax remittance and/or file upload via the Applications. 

Taxpayer acknowledges that he or she is authorized to access the personally identifiable information contained and/or entered into the Applications. When Taxpayer registers, Taxpayer agrees to utilize the Applications only for official purposes and that Taxpayer will keep its login credentials secret. Taxpayer waives all claims against Keystone for the divulgence of confidential information as a result of the unauthorized access of the Applications by a third-party’s use of Taxpayer’s login credentials. 

SECTION II 

a. REGISTRATION 

To register and access the Applications, you must provide a valid email address. By registering and accepting these TOS, you consent to receive periodic email notifications related to your use of the Applications. Such notices include but may not be limited to filing status updates, annual, quarterly or monthly reminder notices, and any and all communications directly related to your use of the Applications. You may unsubscribe to these notices at any time. 

Some Applications will require you to provide certain information about you and/or Employer. You agree to: (a) provide true, accurate, current and complete information as prompted within the Application and (b) maintain and promptly update such information to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, outdated or incomplete, or Keystone suspects that such information is untrue, inaccurate, outdated or incomplete – Keystone has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof). When you register, you certify that you have the authority to enter into agreements and bind yourself, your representatives, and/or Employer to these TOS. 

All information entered into the Applications is subject to verification. Any information entered that cannot be verified as accurate and true may result in Keystone suspending and/or terminating your account. 

Payment method information entered is subject to verification. You must be an authorized user of the selected payment method and must have access to documentation regarding it. 

b. FEES AND INTEREST 

Any payment submitted using a bank account that is returned to Keystone for non-sufficient funds (“NSF”), incorrect payment method information, or requested to be ‘stopped’ from being sent (due to an error on your part) will result in a $29.00 NSF fee. This fee will be assessed to your account prior to any future use of the service. The payments that were originally submitted by resulted in the NSF or stoppage must be re-submitted by you. Note, this fee is in addition to any fees your own bank may charge. Interest may accrue on account balances if a payment fails for any reason and is rescheduled. 

c. PAYMENT REVERSAL/STOP PAYMENT PROVISION 

Taxpayer agrees to honor all payments originated using the Applications, and shall not request Keystone, member’s bank, or member’s credit card provider to reverse any debits or payment(s), unless payment(s) wishing to be reversed/stopped were: 

  1. Fraudulently made; OR 
  1. Duplicates of previous payments submitted to Keystone the same day in error; OR 
  1. Other circumstances subject to Keystone approval, at Keystone’s sole discretion; AND, Taxpayer notified Keystone by payment cutoff time, on the day following the settlement date of the payment wishing to be reversed/stopped 

SECTION III 

a. WAGE GARNISHMENT APPLICATION NOTICES ONLY 

Garnishment notices to you may be made via both email and regular mail. All notices will be sent via regular mail until user opts in to receive electronic notifications only. All employees subject to wage garnishment will receive written Notice pursuant to the provisions of the Local Tax Enabling Act. 53 P.S. §§ 6924.702-703, Local Tax Collection Law, 72 P.S. §§ 5511.20-21 or any other applicable law. These TOS may be updated from time to time without notice. You can review the most current version at any time on this site. Payment submission activity will be reported to you via the e-mail account associated with this username, and/or the account administrator. When you submit a payment, the user’s registered address will receive an e-mail confirmation that Keystone has received your submission and is processing it. The email will contain a summary of your transactions and the total amounts paid. You further recognize that payments may be rejected by the payor’s financial institution after an e-mail confirmation is sent. 

b. e-file AND FILE UPLOAD 

User agrees that by accessing the e-file system, they have read and agree to be bound by the File Upload Terms of Service. 

All tax returns are subject to audit and review. User agrees to provide banking account information for direct deposit if due a refund. There is no charge for online payment from the user’s bank account. Credit card payments are acceptable in the e-file system. Note: First Data Corporation charges a 2.5% processing fee on all credit card transactions, with a minimum fee of $0.50 per transaction. 

All amounts are rounded to whole numbers. If the tax amount due is de minimis, it is not necessary to make a payment. De minimis overpayments will not be shown as a refund or credit. 

User agrees to provide banking account information to complete payment online. Tax returns cannot be completed if the balance due is not paid in full at the time of filing. Failure to pay any balance due by the due date may result in additional penalty, interest and statutory costs. 

User confirms that “BY ELECTRONICALLY SUBMITTING THIS RETURN, UNDER PENALTIES OF PERJURY, I DECLARE THAT I HAVE EXAMINED THIS INFORMATION, INCLUDING ALL ACCOMPANYING SCHEDULES AND STATEMENTS, AND TO THE BEST OF MY INFORMATION AND BELIEF, THEY ARE TRUE, CORRECT AND COMPLETE.” 

Declaration of preparer (other than taxpayer) is based on all information of which the preparer has any knowledge. By accessing and using this system, user agrees that they are the individual associated with the tax return, or that they have the right to file tax returns on behalf of the individual in whose name the return is filed. 

c. e-Bill 

User agrees that by enrolling in e-Bill all invoices associated with the account will be electronically transmitted to the email address specified in User’s profile. User acknowledges that no paper invoices will be mailed to the User once enrolled in e-Bill, unless or until the User is unenrolled. Invoices are viewable at Pay.KeystoneCollects.com under the “Invoices” tab. Enrolled users will receive an email notification when the invoice is available. 

Please allow one billing cycle for enrollment confirmation. Enrollment confirmation will be sent to the User via email. User understands that they are not enrolled until enrollment is confirmed via email. It is the User’s responsibility to maintain a current and accurate email address. It is the User’s responsibility to ensure payment remittance. User acknowledges that Keystone is not responsible for emails automatically directed to a User’s Spam or Junk filter by User’s email provider. If a User’s e-Bill is returned to Keystone as undeliverable to the email address on file, the User’s account may revert to paper billing. In all such cases, the User remains responsible for all invoice charges as if they received the invoice. 

Keystone retains the right to terminate a User’s e-Bill enrollment at any time and for any reason. User may terminate enrollment in e-Bill at any time. Please allow one billing cycle for enrollment termination to take effect. 

d. AutoPay 

User expressly agrees to the terms of the Keystone Collections Group Authorization and to these Terms and Conditions generally. By enrolling in AutoPay, User authorizes Keystone to initiate automatic payments in accordance with the ACH Authorization and acknowledges and agrees that such enrollment will result in automatic enrollment in Keystone’s e‑Bill service. 

User further understands and agrees that participation in e‑Bill is a required condition of AutoPay enrollment. Accordingly, all invoices associated with the User’s account will be delivered electronically in accordance with the e‑Bill provisions of these Terms and Conditions. 

In the event the User elects to discontinue participation in e‑Bill, such action shall constitute a request to terminate AutoPay enrollment. User acknowledges and agrees that e‑Bill cannot be removed while AutoPay remains active, and that termination of e‑Bill will result in the cancellation of AutoPay services. 

These policies and principles are effective 7/21/2026 and may be amended from time to time.
