File Upload Terms & Conditions

I (hereinafter the “User”) acknowledge that I have read, and do hereby accept and agree to the terms and conditions contained in the Terms and Conditions and Privacy Policy. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY.

Changes to the Terms

Keystone Collections Group (hereinafter “Keystone”) may change or modify these Terms and Conditions as well as the Privacy Policy from time to time without notice. Any amendment will be effective when posted. Keystone reserves the right to change, modify, and/or discontinue any service provided to User without notice. User agrees that Keystone shall not be liable to User or to any third party for any modification, suspension or discontinuance of the service.

Ownership of Uploaded Content

User agrees that any electronic content, regardless of format, submitted by User using Keystone’s File Upload function(s) (hereinafter “File Upload”) shall upon receipt become the property of the taxing body (ies) and Tax Collection Committee of the User. Further, Keystone shall serve as custodian of the document(s) or image(s) as outlined in 53 P.S. §6924.509(e). User warrants that it has all appropriate rights, titles, permits and authority in all content transmitted to Keystone using File Upload.

No Illegal, Harmful or Offensive Use or Content

User agrees to only use File Upload to submit content related directly to matters of taxation. User may not access or use File Upload for any illegal, harmful, fraudulent, or offensive purposes. User further agrees that the document(s) or image(s) being uploaded will not infringe upon any third party rights, be illegal, harmful, indecent, defamatory, libelous, harassing, threatening, or fraudulent. User agrees to not attempt to interfere with, surreptitiously intercept, or expropriate any system, program, or data, including but not limited to viruses, Trojan horses, worms or time bombs.

Third Party Conversion Software and Protective Scan

User expressly acknowledges and permits Keystone to utilize third party cloud based software to convert User content into a uniform file format and temporarily store User uploaded content and transmit said content to Keystone. By utilizing this service, User expressly authorizes disclosure of uploaded content to the third party software company and forever releases Keystone from any liability for disclosure of confidential tax information to the third party service provider or any harm resulting therefrom. Further, User accepts and agrees that any uploaded content shall undergo an electronic file scan administered by third party software that is specifically designed to identify files that infringe upon third party rights, are illegal, harmful, indecent, defamatory, libelous, harassing, threatening, or fraudulent, or contain code or files that are submitted to expropriate any system, program, or data including but not limited to viruses, Trojan horses, worms or time bombs. User acknowledges, that any content uploaded using File Upload that is identified by the electronic file scanner as violating these Terms and Conditions or Privacy Policy will be subject to review by a third party and may therefore be rejected. User waives any right to confidentiality for documents that may be reviewed pursuant to these system controls, safety precautions, Terms and Conditions or Privacy Policy. User agrees that Keystone and third party software vendors utilize at least industry standards in protection of uploaded content. User acknowledges that any content uploaded that is found to violate these Terms and Conditions will not be provided to Keystone and will be treated as undelivered.

Governing Law

This Agreement, the construction and enforcement of its terms and the interpretation of the rights and duties hereunder will be governed by the internal laws of the Commonwealth of Pennsylvania, without regard to its conflicts of law principles. The User and Keystone agree that the state or federal courts located in Allegheny County, Pennsylvania will be the proper forum for any legal controversy arising out of or in connection with this Agreement, and the Parties hereby irrevocably and unconditionally consent to the exclusive jurisdiction of such courts for such purposes, to the extent permitted by applicable law.

Indemnification

User fully indemnifies and holds harmless Keystone for any claim, causes of action, loss or damages, fees, expenses, settlement or any other form of damage or expense relating to that may arise from use of File Upload including, but not limited to, data breach, disclosure of confidential tax information, identity theft, copyright infringement. Further, User understands and acknowledges that using File Upload is voluntary and that other document submission methods exist such as the United States Postal Service, a private courier service or via facsimile using a designate fax number. In consideration of the convenience and benefits to User realized by voluntarily selecting and using this electronic upload option of File Upload, User hereby fully accepts these Terms and Conditions.
